FCCPC Approves UAC’s Acquisition of CHI Limited

Nigeria’s Federal Competition and Consumer Protection Commission (FCCPC) has approved the acquisition of CHI Limited—makers of Chivita juices and Hollandia dairy products—by UAC of Nigeria PLC, clearing the way for the deal to close and expanding UAC’s footprint in the fast-moving consumer goods sector.

The regulatory greenlight, announced Friday, follows a July 30 agreement in which The Coca-Cola Company divested its stake in CHI Limited to UAC. The move marks a strategic shift for the U.S. beverage giant, which has been streamlining its global portfolio. CHI, founded in 1980, holds a significant share of Nigeria’s estimated ₦500 billion non-alcoholic drinks market, with its products reaching both urban and rural consumers.

CHI Managing Director Eelco Weber welcomed the approval, saying the company looks forward to a smooth transition and continued growth under UAC’s ownership. UAC Group Managing Director Fola Aiyesimoju also expressed optimism, stating that the company is excited to integrate CHI’s brands and team into its operations and build on their legacy of market leadership.

Though the financial terms of the deal remain undisclosed, the acquisition positions UAC—already known for subsidiaries like UAC Foods and Livestock—to diversify beyond staples into premium beverages. 

The FCCPC reviewed the transaction for potential anti-competitive risks and confirmed that it meets consumer protection standards, aligning with Nigeria’s broader push for fair trade and market transparency.

As the deal concludes, it highlights a broader trend of foreign firms recalibrating their presence in Africa’s largest economy, while local players like UAC continue to consolidate and expand. Industry observers say CHI’s integration could lead to job creation and product upgrades, though pricing dynamics will be closely monitored amid persistent inflationary pressures.
